These terms govern your use of the Gradient Yard website and your participation in any track or programme offered by Gradient Yard. By submitting an enquiry form or enrolling in a track, you agree to these terms. Please read them before proceeding.
CONTENTS
1. Definitions
- "Gradient Yard", "We", "Us", "Our" refers to Gradient Yard, Jalan Tun Razak 128, 50400 Kuala Lumpur, Malaysia.
- "Track" or "Programme" means any AI development course or team upskilling programme offered by Gradient Yard.
- "You" or "User" means any individual or organisation accessing this website or enrolling in a track.
- "Enrolment Agreement" means the written document provided to you before payment that sets out the scope, price, and conditions of a specific track.
- "Materials" means session recordings, exercises, written feedback, and any other content provided as part of a track.
- "Completion Record" means the written document issued at the end of a track listing topics covered and exercises submitted.
2. Acceptance of Terms
By submitting an enquiry form on this website or signing an Enrolment Agreement, you confirm that you have read and agree to these terms. You must be at least 18 years of age to enrol in any track. By enrolling, you represent that you have the legal capacity to enter into a binding agreement.
3. Services Description
Gradient Yard provides AI development education through three track types: the Weekend Entry Track, the Weekday Intensive Track, and the Team Upskilling Programme. Each track is described on the Solutions page of this website and in the Enrolment Agreement.
Tracks are delivered online unless otherwise agreed in writing. Availability is subject to intake schedules. We reserve the right to modify, postpone, or cancel a track where circumstances require, in which case we will notify enrolled participants and discuss alternatives including rescheduling or refund.
We do not offer employment services, career placement, or accredited qualifications of any kind. Completion Records issued at the end of a track are internal documents issued by Gradient Yard and are not recognised credentials or qualifications under any regulatory framework.
4. Enrolment
Enrolment is confirmed when you have received, reviewed, and accepted the Enrolment Agreement, and payment has been received in full (or a payment plan has been agreed in writing). The Enrolment Agreement sets out the specific track, start date, scope, price, and withdrawal terms applicable to your enrolment.
You are responsible for ensuring that the contact details you provide are accurate and for keeping them updated. Session links, materials, and communications are delivered to the email address on your enrolment.
5. User Responsibilities
As a participant, you agree to:
- Engage with sessions and exercises in good faith.
- Not share session recordings, materials, or exercises with anyone outside your enrolled cohort without our written permission.
- Not use any materials provided during a track for commercial resale or redistribution.
- Treat other participants and instructors with respect in all interactions.
- Comply with the technical requirements for participation (internet connection, compatible device, software) as communicated before the track starts.
For employers enrolling a team, the employer is responsible for ensuring that participants are aware of these terms and have agreed to them.
6. Intellectual Property
All curriculum materials, session recordings, exercises, and written feedback produced by Gradient Yard remain the intellectual property of Gradient Yard. You are granted a limited, non-exclusive, non-transferable licence to use materials for your personal learning during and after the track.
For Team Upskilling Programmes, the Enrolment Agreement may specify that session recordings are retained by the employer. This licence covers internal use by the employer's team and does not extend to redistribution, resale, or use outside the organisation.
Exercises submitted by participants remain the intellectual property of the participant. By submitting an exercise, you grant Gradient Yard a licence to use the submission for the purpose of providing feedback and, in anonymised form, for curriculum development.
7. Payment Terms
Prices are stated in Malaysian Ringgit (RM). The price applicable to your enrolment is the price stated in your Enrolment Agreement. Payment is due as specified in that agreement — either in full before the track starts or according to a payment plan agreed in writing.
Withdrawal and refunds: Withdrawal and refund terms are set out in the Enrolment Agreement. As a general guide: withdrawal before the track starts may result in a partial or full refund depending on timing; withdrawal after the track has started typically results in no refund for sessions already delivered. The specific terms applicable to your enrolment are those in your Enrolment Agreement, which you will have reviewed before payment.
We do not accept payment in cash. Accepted payment methods are stated at the time of enrolment.
8. Track-Specific Terms
Weekend Entry Track: Sessions are scheduled on Saturdays. Recordings are made available within 48 hours of each session. The study partner arrangement is made in week one; we cannot guarantee compatibility but will reassign on request.
Weekday Intensive Track: The track runs at approximately thirty hours per week. GPU credits are provided for use during the track period and expire at the end of the track. The portfolio project is reviewed by an instructor and the review forms part of the Completion Record.
Team Upskilling Programme: The curriculum design workshop takes place before the programme starts. The agreed curriculum is confirmed in writing before the first session. Post-programme follow-up clinics are scheduled at mutually agreed times within six months of the programme closing.
9. Disclaimers
Tracks are provided on the basis that outcomes depend on the participant's own effort, prior knowledge, and engagement. We make no representation about the level of skill a participant will reach by the end of a track, or about any specific employment, commercial, or other outcome that may or may not follow from participation.
Materials are provided for educational purposes only. Nothing in a track constitutes professional, legal, financial, or technical advice specific to any particular situation.
This website and all materials are provided "as is". We do not represent that the site will be uninterrupted or error-free.
10. Limitation of Liability
To the fullest extent permitted by Malaysian law, Gradient Yard's liability to you in connection with any track or use of this website is limited to the total amount paid by you for the relevant track.
We are not liable for indirect, incidental, or consequential losses, including loss of profits, loss of data, or loss of opportunity, arising from participation in a track or use of this website.
These limitations do not affect liability that cannot be excluded under applicable law, including liability for fraud or personal injury caused by negligence.
Force majeure: We are not liable for delay or failure to deliver a track caused by circumstances outside our reasonable control, including power outages, platform failures, public health emergencies, or natural events. In such cases, we will make reasonable efforts to reschedule.
11. Indemnification
You agree to indemnify Gradient Yard, its instructors, and staff against any claims, losses, or expenses arising from your breach of these terms, your misuse of materials, or your conduct during a track that causes harm to another participant or to Gradient Yard.
12. Termination
Either party may terminate participation in a track by giving written notice. The consequences of termination — including any refund — are governed by the Enrolment Agreement.
We reserve the right to remove a participant from a track without refund if their conduct materially disrupts the programme or violates these terms, after giving a written warning where practicable.
Sections 6, 9, 10, 11, and 13 of these terms survive termination.
13. Dispute Resolution
These terms are governed by the laws of Malaysia. Any dispute arising from a track or use of this website will first be referred to informal resolution: contact us at [email protected] and we will aim to respond within 14 days with a proposed resolution.
If informal resolution is not achieved within 30 days, disputes may be referred to the courts of Malaysia, which shall have exclusive jurisdiction. Participants located outside Malaysia agree to the same jurisdiction.
For disputes involving amounts below the Small Claims Court threshold under Malaysian law, parties may opt to use the Small Claims procedure.
14. General Provisions
- Entire Agreement: These terms, together with your Enrolment Agreement, constitute the entire agreement between you and Gradient Yard for the relevant track.
- Severability: If any provision of these terms is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision of these terms does not constitute a waiver of the right to enforce it in future.
- Assignment: You may not assign your enrolment or rights under these terms to another person without our written consent.
- Notices: Written notices under these terms should be sent to [email protected]. Notices to you will be sent to the email address on your enrolment.
15. Changes to These Terms
We may update these terms from time to time. Updated terms will be posted on this page with a revised effective date. If you have already enrolled in a track, the terms at the time of your enrolment govern your participation in that track unless you agree in writing to updated terms.
Continued use of this website after updated terms are posted constitutes your acceptance of the changes in respect of website use.
